• Directors' Meeting called to order at 11:15am EDT on Sept 6, 2022.
• Primary agenda topic: completing the transition to ASWF and dissolution of the OFX Association.
• It was noted that the resolution circulated to members empowering the directors to dissolve the Association and transfer its assets to the Academy Software Foundation (without further member involvement) passed, with six yes votes, and zero no votes out of a total of eight voting members.

• Gary Oberbrunner proposed a motion: Per the members' resolution, the directors should now begin the process of transferring the Association's assets to the ASWF and then dissolving the Association.

• Motion passed unanimously via show of hands.
• Meeting was adjourned at 11:20am EDT.
